5. Service Engagement and Payment

Engagement of YAN HORIZON INC for professional services requires execution of a separate written agreement. The terms of any such engagement including scope of work, deliverables, timeline, fees, payment schedule, and other material terms will be set forth in a Statement of Work, Service Agreement, or other mutually executed document.

All fees for services are as set forth in the applicable Statement of Work or Service Agreement. Unless otherwise specified, fees are exclusive of applicable taxes and expenses. Payment terms are net thirty days from the date of invoice unless otherwise agreed in writing. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by applicable law.

6. Confidentiality

In the course of providing services, YAN HORIZON INC may receive or have access to information that you consider confidential or proprietary. YAN HORIZON INC agrees to maintain the confidentiality of such information in accordance with the terms of the applicable service agreement and applicable law.

Confidential Information does not include information that: is or becomes publicly available through no breach of these terms; was lawfully in the possession of YAN HORIZON INC prior to disclosure; is independently developed by YAN HORIZON INC without use of or reference to your confidential information; or is required to be disclosed by law, regulation, or court order.

7. Limitation of Liability

To the fullest extent permitted by applicable law, YAN HORIZON INC and its directors, officers, employees, agents, affiliates, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, loss of data, loss of use, loss of goodwill, business interruption, or other intangible losses resulting from:

• Your use or inability to use the website or services
• Any conduct or content of any third party on the website
• Any content obtained from the website
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall the aggregate liability of YAN HORIZON INC exceed the total amount paid by you to YAN HORIZON INC for the specific service giving rise to the claim during the twelve-month period preceding the event giving rise to the liability, or one hundred United States dollars if no fees have been paid.
